COMPLAINT IS BEING CLOSED BECAUSE FIRM AGREED TO REPURCHASE SECURITIES TO PROVIDE LIQUIDITY TO CUSTOMER TO RESOLVE DISPUTED CLAIMS. THE RESOLUTION DOES NOT REFLECT ANY FINDING OF MISCONDUCT BY THE REPRESENTATIVE. ALTHOUGH THE SECURITIES REPURCHASED BY THE FIRM ARE CURRENTLY VALUED AT PAR BY INDEPENDENT THIRD-PARTY PRICING SERVICE, BASED ON FINRA REGULATORY NOTICE 09-12 THE SETTLEMENT AMOUNT IS BEING REPORTED AS THE FULL PAR VALUE OF SECURITIES.

DAMAGES WERE UNSTATED, BUT BELIEVED TO BE IN EXCESS OF $5,000.

Broker Comment: I INHERITED THESE ACCOUNTS FROM ANOTHER BROKER AND HAVE BEEN WORKING WITH THESE CLIENTS SINCE 1999. THROUGHOUT OUR RELATIONSHIP, ALL INVESTMENTS DECISIONS HAVE BEEN DISCUSSED, IN DETAIL, WITH THE CLIENT. ALL TRANSACTIONS WERE APPROVED BY THE CLIENTS' PRIOR TO THEIR EXECUTION. THE CLIENT DID NOT WANT TO PAY THE INITIAL SALES CHARGES ASSOCIATED WITH CLASS A FUNDS. ALL TRANSACTIONS WERE IN-LINE WITH THE CLIENTS'INVESTMENT OBJECTIVES AND RISKS AT THAT TIME.
