Allegations: Abadin was named a respondent in a FINRA complaint alleging that he failed to comply with Section 5 of the Securities Act of 1933 by causing his member firm to engage in the unlawful resale of approximately 482,377 shares of restricted securities into the public market, absent a valid exemption. The complaint alleges that Abadin failed to detect or to investigate potentially suspicious activity within customer accounts that liquidated a stock, including: the cause or causes of the wild price increases and volatility that occurred when the stock began trading; that a customer had funded a promotional campaign for the stock and intended to liquidate the shares during the promotional campaign; deposit and liquidation activity within another customer's account, which was deemed a high-risk account; or deposit and liquidation activity within Abadin's account. Because Abadin did not adequately identify or consider numerous red flags related to customer accounts, he also failed to adequately consider whether to file a Suspicious Activity Report with respect to these accounts, as required by the Bank Secrecy Act and its implementing regulations.
